This License Agreement is between you (“Licensee”) and Pre&ent (“Licensor”). It governs your use of any photos, videos, or related content (“Content”) licensed from Pre&ent. By downloading or using Content, you agree to the terms below.

1. License Models

Pre&ent offers Royalty-Free (RF) licenses only. RF means: one-time fee, unlimited, global, perpetual use, no additional payments required for reuse. Pricing varies by file size.

2. Comp License (Evaluation Use)

You may download Content for layout/testing (“Comp Use”) for up to 30 days at no charge. No final, public, or commercial use is permitted until a license is purchased.

3. Royalty-Free License Rights

- Perpetual: no expiration
- Worldwide: any territory
- Unlimited uses: print, digital, film, social
- Non-exclusive: Pre&ent may license Content to others
- Media-neutral: future media included
- Derivative modifications allowed (except misrepresentation — see §7)

4. Who May Use Content

The license is non-transferable & non-sublicensable, except:

• Employer or Client named as Licensee
• Subcontractors may use Content only for production/distribution of your final project and must follow this Agreement

RF Sharing Limit: Up to 10 users within the same legal entity may access the raw file.For more users: purchase additional rights.

5. Prohibited Uses (without exception)

You may not:

• Use Content in unlawful, defamatory, hateful, pornographic, or harmful contexts
• Re-share Content as a standalone downloadable file
• Claim sole authorship of work primarily composed of licensed Content
• Use Content as a logo, trademark, service mark, or brand identifier
• Use Content for biometric recognition, AI training, machine learning, dataset creation, or content generation systems
• Extract metadata (keywords, captions) or use them independently from the asset

6. Conditional / Restricted Uses (additional rights required)

You must obtain additional licensing if you intend to use Content for:

• On-demand products (mugs, shirts, custom posters, wallpapers, etc.)
• Templates for resale (website/print/brochure/card templates)
• Editorial images in commercial campaigns (requires model/property releases)
• NFTs or blockchain-based digital assets

7. Intellectual Property

All Content is owned by Pre&ent or its contributing photographers. No ownership is transferred.

8. Attribution

• Commercial use → not required (but appreciated)
• Editorial use → mandatory credit as: [Photographer Name] / Pre&ent

If video credits are provided for others, similar credit must be included for Pre&ent.

9. Fees & Auto-Renewals

You authorize Pre&ent to charge renewal fees using the stored payment method, unless you disable auto-renewal in your account before renewal.

10. Refunds & Termination

You may cancel unused licenses within 30 days for a refund.
If you breach this Agreement, Pre&ent may terminate your license and require removal of all Content immediately.

11. Withdrawal of Content

If Pre&ent notifies you of a rights concern, you must:

• Stop using Content
• Delete or destroy copies
• Ensure clients & partners do the same
• Replacement Content will be provided at no charge.

12. Warranty

Pre&ent warrants:

• Licensed use as delivered will not infringe copyright/moral rights

No warranty is provided for:

• Missing releases
• Edited/altered use
• Sensitive or defamatory use contexts
• Editorial Content used commercially without releases

13. Limitation of Liability

Pre&ent is not liable for:

• Lost profits, indirect, punitive, or consequential damages

Your total remedy is limited to the amount paid for the license.

14. Governing Law & Arbitration

This Agreement is governed by laws of Quebec & Canada.
Disputes are resolved by confidential arbitration (JAMS/ICDR).
No class actions. The arbitrator’s decision is final.

16. Entire Agreement

This Agreement supersedes any prior understanding. Any changes must be in writing and accepted by both parties.

You're permitted to use content from the Pre&ent site for testing or sample purposes (composite or comp use) at no cost, for up to 30 days after downloading. However, without purchasing a license, the content cannot be used in any final or publicly available materials. This arrangement only grants rights for test or sample use, and no additional rights or warranties are provided for such use.

You are allowed to use the licensed content in any manner that aligns with the rights specified below, as long as it adheres to the provided restrictions (refer to Restricted Uses below). Your rights, as granted by Pre&ent, are subject to these limitations and the other terms outlined in this agreement.

Your rights to use the content are perpetual, signifying that there is no expiration or end date. The usage is worldwide, allowing the content to be utilized in any geographic location. It is unlimited, allowing for an unrestricted number of uses. The content can be applied across various media, including print, digital, or any other format. The agreement is non-exclusive, meaning you don't have exclusive rights, and Pre&ent retains the ability to license the same content to other customers. If you desire exclusive rights to royalty-free content, kindly reach out to Pre&ent to explore a buy-out arrangement.

The agreement remains non-exclusive, unless explicitly stated otherwise on the website, invoice, sales order, or in a separate agreement. Pre&ent retains the right to license the same content to other customers.

In the context of this agreement, "use" encompasses actions such as copying, reproducing, modifying, editing, synchronizing, performing, displaying, broadcasting, publishing, or any other utilization of the licensed material. It's crucial to review the Restricted Uses section below for any exceptions to these general usage permissions.
